Shareholder Rights Directive II Disclosure

The European Union (Shareholders’ Rights) Regulations 2020 (the “Regulations”) came into force in Ireland on 30 March 2020. They give effect to the Shareholders’ Rights Directive (EU) 2017/828 of the European Parliament and of the Council (the “2017 Directive”), amending the previous EU Shareholders’ Rights Directive 2007/36/EC (the “2007 Directive”).

The Asset Management Exchange (Ireland) Limited (“AMX Ireland”) as management company to alternative investment funds (“AIFs”) and undertakings for collective investment in transferable securities (“UCITS”) delegates portfolio management services to underlying portfolio managers, all of which are domiciled outside of Ireland.  A number of the portfolio managers are based in the UK and we note the extension issued by the Financial Conduct Authority (“FCA”) for portfolio managers to comply with Directive (EU) 2017/828. AMX Ireland also appoints portfolio managers from non-EU Member States.

AMX Ireland will update this page following consultation with each portfolio manager following a review of their voting procedures.

The Asset Management Exchange (UK) Limited (“AMX UK”) is approved by the FCA as a BIPRU firm and is not required to comply with the 2017 Directive as it does not engage in portfolio management.
